Standard 25-Year Guarantee for Commercial Carports
1. INTRODUCTION
1.1. Solarport Systems Limited (“Solarport”) is the designer and manufacturer of solar carport structures.
1.2. Solarport has entered into an agreement on [DATE] with the Customer for the supply of goods for the purposes of the solar carport installation, including goods to which this Warranty applies (“Contract”). Where the Contract includes Solarport’s Standard Terms and Conditions for Supply of Goods and Services, this Warranty forms part of the Quotation, as defined in such Terms and Conditions.
2. PRODUCT SPECIFICATION
2.1. This Warranty applies to the Commercial Solar Carport System supplied by Solarport, comprising:
2.1.1. Structural grade steel framework;
2.1.2. All fixings, fasteners and fixtures as specified and supplied by Solarport in accordance with relevant British Standards and Eurocodes.
2.2. Dimensions are designed to accommodate standard car parking spaces in accordance with BS 8300-1. The system is designed for a car space width of 2,600mm, which exceeds the standard 2,400mm requirement. Solarport can accommodate bespoke parking space dimensions upon request.
3. WARRANTY STATEMENT
3.1. Subject to the conditions set out in this Warranty, Solarport warrants to the Customer or any party to whom the benefit of this Warranty is assigned (“the Beneficiary”) that the Commercial Solar Carport System supplied by Solarport will not exhibit significant structural deterioration due to corrosion, structural instability, or component failure for a period of up to [twenty-five (25) years] from the start date of this Warranty (the “Warranty Period”), as specified in the Contract.
3.2. The specific Warranty Period applicable to each Contract shall be determined by Solarport at the time of quotation and confirmed in writing. The Warranty Period shall be no less than ten (10) years and no more than twenty-five (25) years, taking into account the corrosion protection specification of the materials used.
3.3. Solarport’s manufactured components utilise ZM310 zinc-magnesium alloy coating, and all procured components are hot-dip galvanised to a minimum of 85microns, providing enhanced corrosion protection that underpins the extended Warranty Period available.
4. DESIGN STANDARDS AND COMPLIANCE
4.1. The Commercial Solar Carport System has been designed and manufactured in accordance with the following British Standards and Eurocodes:
4.1.1. BS EN 1090 – Execution of steel structures;
4.1.2. BS EN 1991 – Eurocode 1: Actions on structures, including:
4.1.2.1. BS EN 1991-1-1: Densities, self-weight and imposed loads;
4.1.2.2. BS EN 1991-1-3: Snow loads; and
4.1.2.3. BS EN 1991-1-4: Wind actions.
4.1.3. BS EN 1993 – Eurocode 3: Design of steel structures.
5. ENVIRONMENTAL CONDITIONS
5.1. This Warranty is based on installation in the United Kingdom with:
5.1.1. Atmospheric corrosion rates not exceeding C3 (medium) per year as set out in BS EN ISO 12944-2; and
5.1.2. Solarport does not supply below-ground materials. Below-ground corrosivity conditions are therefore outside the scope of this Warranty. It is the Customer’s responsibility to assess soil conditions and ensure that any below-ground components (including foundations) are suitable for the site-specific ground conditions. Solarport recommends that the Customer obtains a soil analysis report from a suitably qualified geotechnical specialist prior to installation.
5.2. This Warranty is conditional upon the Beneficiary notifying Solarport of any aspects of the local environment likely to be detrimental to the steel or aluminium components prior to design and manufacture, including, without limitation:
5.2.1. Chemical or other corrosive atmospheric contaminants, for example, as may be caused by local chemical factories, power stations or other industrial plants;
5.2.2. Coastal or marine environments requiring prior written approval from Solarport;
5.2.3. Areas subject to road salt spray or de-icing chemicals;
5.2.4. Areas with elevated levels of pollution or industrial emissions;
5.2.5. Any other environmental factors that may affect material performance.
6. PRE-CONDITIONS TO WARRANTY VALIDITY
6.1. This Warranty is conditional upon:
6.1.1. The goods supplied under the Contract having been delivered, installed and paid for in full in accordance with the terms of the Contract;
6.1.2. The Product being properly installed, used and maintained in accordance with this Warranty, Solarport’s installation and maintenance guidelines and all applicable codes and standards;
6.1.3. Installation being carried out by competent and qualified installers;
6.1.4. Full installation quality checks being carried out and records of submitted to Solarport on completion of the installation.
6.2. This Warranty is only applicable in respect of the entirety of the Commercial Solar Carport System structure provided by Solarport under the Contract if the following was accepted in writing by Solarport prior to supply:
6.2.1. Geotechnical report, including soil analysis (Note: Solarport does not supply below-ground materials; however, it is strongly recommended that the Customer conducts proper soil testing and obtains a geotechnical report to ensure suitability of the site for foundation works);
6.2.2. Foundation pull-out test report or design calculations certified by a structural engineer (Note: Solarport does not supply below-ground materials; however, it is strongly recommended that the Customer conducts proper pull-out testing before selecting the foundation option);
6.2.3. Site-specific wind loading assessment using Dlubal software, approved in writing by Solarport;
6.2.4. For coastal or marine environments: written approval from Solarport.
(“Full Warranty Pre-Condition Reports”)
6.3. If the above Full Warranty Pre-Condition Reports were either not accepted in writing or Solarport declared in writing that such reports were not required prior to supply, this Warranty applies and is limited to the above-ground structure supplied under the Contract only, and Solarport accepts no liability for foundation-related issues.
7. INSTALLATION REQUIREMENTS
7.1. Solarport does not install the Commercial Solar Carport System. Installation is the sole responsibility of the Customer or their appointed contractors.
7.2. The Customer is solely responsible for:
7.2.1. Ensuring compliance with all applicable Building Regulations and obtaining all necessary approvals;
7.2.2. Engaging competent and qualified installers;
7.2.3. Providing accurate geotechnical data and arranging foundation pull-out testing as required by Solarport’s foundation specifications;
7.2.4. Installing the Product strictly in accordance with Solarport’s installation guidelines;
7.2.5. Quality control, inspection and acceptance of the installation.
7.3. All inspections carried out by or on behalf of Solarport are only to be considered sample inspections to determine that the general nature of the installation is as per the installation guide provided by Solarport and must not be relied upon to confirm correct installation of any parts.
7.4. For the avoidance of doubt, Solarport does not accept any responsibility or liability under this Warranty for incorrectly installed parts. In the event that any parts of the structure are found, in the sole reasonable opinion of Solarport, to be incorrectly installed that require replacement, replacement of parts under this Warranty, then the Warranty will be at the sole discretion of Solarport.
8. INSPECTION AND MAINTENANCE REQUIREMENTS
8.1. Mandatory Inspections: To maintain warranty validity, the Customer must conduct thorough inspections of all Product components as follows:
8.1.1. Comprehensive Inspection Every Five (5) Years: A detailed inspection of all structural elements, connections, fixings, and surface protection systems must be carried out by a competent person;
8.1.2. Post-Event Inspections: Immediate inspection without delay following:
8.1.2.1. High wind events exceeding 67 mph (30 m/s / 108 km/h);
8.1.2.2. Heavy snow loading events exceeding the system’s design snow load capacity of 1 kN/m², which equates to: fresh light snow accumulation exceeding 680mm; settled snow accumulation exceeding 410mm; or wet heavy snow accumulation exceeding 250mm;
8.1.2.3. Hailstorms with hail size exceeding 20mm diameter;
8.1.2.4. Any seismic activity;
8.1.2.5. Lightning strikes affecting or near the structure;
8.1.2.6. Flooding or standing water around foundations;
8.1.2.7. Any impact or collision with the structure;
8.1.2.8. Any structural movement or unusual noises.
8.2. Inspection Requirements: Inspections must include but not be limited to:
8.2.1. Visual examination of all structural steel members for deformation, cracking, corrosion or damage;
8.2.2. Inspection of all connections, welds and fasteners for signs of loosening, damage or corrosion;
8.2.3. Inspection of surface protection systems (zinc magnesium, galvanizing, powder coating) for damage or deterioration;
8.2.4. Inspection of solar panel clamps and mounting components;
8.2.5. Inspection of all fixings and fasteners;
8.2.6. Inspection of foundations for settlement, cracking or deterioration;
8.2.7. Inspection of drainage paths and clearance of any debris or vegetation;
8.2.8. Verification that no unauthorised modifications have been made;
8.2.9. Check for water pooling or inadequate drainage;
8.2.10. Inspection of any electrical components attached to the structure (by qualified electrician).
8.3. Maintenance Requirements:
8.3.1. Removal of debris, leaves and vegetation from the structure at least twice annually;
8.3.2. Cleaning of bird droppings or other corrosive substances as soon as practicable;
8.3.3. Ensuring adequate drainage around foundations;
8.3.4. Re-tightening of fasteners if loosening is identified (using specified torque settings as per installation guide);
8.3.5. Touch-up of minor surface damage to prevent corrosion progression (using approved materials and methods);
8.3.6. Trimming of overhanging vegetation to prevent contact with the structure;
8.3.7. Removal of snow accumulation exceeding design parameters;
8.3.8. Cleaning of components to prevent staining or corrosion.
8.4. Record Keeping: The Customer must submit copies of reports clearly demonstrating full compliance to requirements of 8.1 no later than 5 days following such inspections to warranties@solarportsystems.com, and must maintain written records of all inspections and maintenance activities, including dates, findings, photographs and any remedial actions taken. These records must be made available to Solarport upon request.
8.5. Failure to conduct the required inspections or perform necessary maintenance will void this Warranty in its entirety.
9. HEALTH AND SAFETY REQUIREMENTS
9.1. The Beneficiary is responsible for compliance with the Construction (Design and Management) Regulations 2015 (CDM 2015). Solarport is neither the Principal Designer nor Principal Contractor under CDM 2015.
9.2. Safety Warnings: The Beneficiary is hereby warned of the following:
9.2.1. Electrical Hazards: The Product is designed to support solar panels and electrical equipment. All electrical work must be carried out by qualified electricians in accordance with BS 7671 (IET Wiring Regulations). Risk of electric shock and fire.
9.2.2. Public Safety: Where the Product is installed in areas accessible to the public:
9.2.2.1. Appropriate signage must be installed warning of overhead structures and electrical equipment;
9.2.2.2. Warning signs must comply with the Health and Safety (Safety Signs and Signals) Regulations 1996;
9.2.2.3. Consider safety barriers or exclusion zones during adverse weather conditions;
9.2.2.4. Ensure adequate lighting where the structure creates shadowed areas;
9.2.2.5. Consider anti-climb measures where appropriate;
9.2.2.6. Post height restriction signage to prevent vehicle damage;
9.2.3. Falling Objects: Objects, snow, ice or debris may fall from the structure. Consider exclusion zones beneath the structure during adverse weather.
9.2.4. Height Hazards: All work at height must be carried out in accordance with the Work at Height Regulations 2005 (or as amended from time to time) using appropriate safety equipment and by trained personnel.
9.2.5. Structural Loads: Do not climb on, attach loads to, or otherwise load the structure beyond its design capacity. Risk of structural collapse.
9.2.6. High Wind Conditions: During high wind events, maintain a safe distance from the structure. Flying debris may cause injury.
9.2.7. Maintenance Safety: Maintenance work must only be carried out by competent persons using appropriate safety equipment. Isolate electrical systems before carrying out any work on the structure.
9.2.8. Vehicle Safety: Ensure adequate clearance for vehicles. Post warning signage for height restrictions where applicable.
9.3. Solarport has provided health and safety information relating to the Product in the accompanying documentation. This information must be provided to all persons involved in installation, maintenance or use of the Product.
10. WARRANTY EXCLUSIONS
10.1. This Warranty does NOT cover any part of the Commercial Solar Carport System supplied by Solarport to which any defect, damage or issue is materially caused or exacerbated by:
10.1.1. Installation or Maintenance Issues:
10.1.1.1. Improper installation, handling, storage or maintenance of components;
10.1.1.2. Non-compliance with Solarport’s installation or maintenance guidelines
10.1.1.3. Inadequate, incorrectly designed or improperly constructed foundations
10.1.1.4. Installation or maintenance not carried out by competent persons
10.1.2. Modifications: Structural over-stressing or deterioration caused by mishandling or any alteration, extension, repair or modification of any product or material within the system or any part of it, save by a contractor or other person expressly authorised in writing by Solarport;
10.1.3. External Events: Fire, lightning, flood, explosion, earthquake, acts of war, riot, civil commotion, tampering, accidental breakage, radiation, falling objects, vandalism, ground movement, movement or failure of foundations or other extraneous causes outside of Solarport’s reasonable control;
10.1.4. Design Limitations: Where design was based on or relied on information or material provided by the Beneficiary or any third party and where such information or material was incorrect or misleading relating to specification, design, purpose, use, base stability, location or other external factors, including:
10.1.4.1. Wind loads in excess of those predicted by BS EN 1991-1-4 ‘Eurocode 1 – actions on structures – part 1-4: general actions: wind actions’ including all factors of safety considered within Eurocode.
10.1.4.2. Snow loads in excess of those predicted by BS EN 1991-1-3 ‘Eurocode 1 – actions on structures – part 1-3: general actions: snow loads’ including all factors of safety considered within Eurocode
10.1.5. Corrosion: Corrosion or other effects arising from:
10.1.5.1. Atmospheric conditions including entrapment of pollutants, condensation, or contact with gases, fumes or chemicals, in excess of the atmospheric corrosivity levels specified in Clause 5.1.1
10.1.5.2. Below-ground conditions including elements within the premises, building or site ground, which are outside the scope of this Warranty as Solarport does not supply below-ground materials (see Clause 5.1.2.
10.1.5.3. Exposure to road salt, de-icing chemicals or other corrosive substances.
10.1.5.4. Coastal or marine environments without prior written approval.
10.1.5.5. Bi-metallic corrosion arising from contact with dissimilar metals not specified in the design.
10.1.6. Misuse: Misuse, wilful actions or omissions or negligence of the Beneficiary or any third party;
10.1.7. Transportation and Installation Damage: Any damage whatsoever during or following erection, installation and construction, including (without limit), any damage during transportation (with Solarport’s liability, if any, for damage during transportation being governed by the Contract);
10.1.8. Accumulation: The accumulation of dirt, debris, snow, ice or water;
10.1.9. Relocation: Removal and/or re-installation from the location at which it was originally installed (even if at the same site or premises) upon purchase from Solarport;
10.1.10. Defective Components: The use by the Beneficiary or third party of damaged or defective component parts when attaching components in installation or alteration;
10.1.11. Non-Compliance: Use in a manner which is inconsistent with the instructions, including any installation and/or maintenance manual provided by Solarport;
10.1.12. Temperature Extremes: Prolonged exposure to any temperature outside of the range -20°C to 60°C howsoever caused;
10.1.13. Water Retention: Retention of water or contaminants;
10.1.14. Impact Damage: Vehicle impact, collision or damage from vehicles, equipment or personnel;
10.1.15. Third-Party Components: Solar panels, inverters, wiring, electrical components or any other components not supplied by Solarport;
10.1.16. Inspection/Maintenance Failure: Failure to conduct required inspections or maintenance as specified in Clause 8;
10.1.17. Normal Wear and Tear:
10.1.17.1. Surface finish deterioration due to normal weathering;
10.1.17.2. Minor surface corrosion not affecting structural integrity;
10.1.17.3. Fading or chalking of surface coatings;
10.1.17.4. Aesthetic changes that do not affect structural performance
10.1.18. Any other matters for which Solarport is expressed not to be liable under the terms of the Contract.
11. WARRANTY CLAIMS PROCEDURE
11.1. Notification: The Beneficiary must notify Solarport immediately upon discovery of any suspected defect, being no later than seven (7) days of identification or knowledge of any defect indicating a potential problem with the structure.
11.2. Required Information: Any notice invoking this Warranty must be in writing and provide Solarport with:
11.2.1. Details of the Contract and this Warranty;
11.2.2. Relevant serial number(s) of the parts claimed to be defective;
11.2.3. The name of the party making the claim;
11.2.4. A detailed description of the defect with supporting evidence, including photographs;
11.2.5. All inspection and maintenance records as required by Clause 8.4;
11.2.6. Details of any weather events or incidents that may be relevant;
11.2.7. Geotechnical reports and foundation design calculations;
11.2.8. Evidence of Building Regulations compliance (if applicable);
11.2.9. Contact details for the Beneficiary making such claim.
11.3. Additional Requirements: The Beneficiary must provide:
11.3.1. Any additional evidence and/or physical access to the relevant site at which the relevant goods subject to the Warranty are located;
11.3.2. Solarport or its authorised representative being given a reasonable opportunity to inspect the structure (up to 180 days).
11.4. Notice Address: Any notice required or permitted under this Warranty must be in writing and addressed to Solarport at:

For the avoidance of doubt, e-mail alone shall not constitute valid notice to Solarport pursuant to this clause or the Contract.
11.5. Company Response:
11.5.1. Solarport will acknowledge receipt of the warranty claim within 48 hours on business days (Monday to Friday, excluding bank holidays);
11.5.2. If Solarport determines that a site inspection is necessary, an initial site visit will be arranged within ten (10) working days, subject to the severity and nature of the alleged defect, access arrangements, and weather conditions allowing safe inspection.
11.6. Evidence Preservation: The Beneficiary must preserve the Product in its defective condition and must not carry out any repairs without Solarport’s prior written consent.
11.7. The Beneficiary shall bear the burden of establishing a breach of this Warranty.
12. INDEPENDENT EXPERT DETERMINATION
12.1. Notwithstanding anything to the contrary herein, Solarport shall be entitled at its sole discretion upon written notice to the Beneficiary making the claim, to require that any breach of this Warranty alleged by such Beneficiary is reviewed and investigated by an independent third party testing laboratory or specialist nominated by Solarport in its discretion (“Expert”).
12.2. In such an event:
12.2.1. The Beneficiary shall allow and provide access to any such appointed Expert on reasonable notice;
12.2.2. The measurement tolerance to be used by the Expert shall be shared in writing with the Parties prior to investigation;
12.2.3. The Parties shall be bound by the Expert’s decision as the final and conclusive determination;
12.2.4. The Expert shall act as an expert and not as an arbitrator;
12.2.5. If the Expert finds that this Warranty has been breached by Solarport, Solarport will be responsible for the costs it has incurred in sourcing, appointing and paying for such Expert’s investigation and decision;
12.2.6. If the Expert finds that the Warranty has not been breached, the Beneficiary seeking the Warranty will indemnify Solarport for the costs incurred by Solarport in sourcing, appointing and paying for such Expert’s investigation and decision.
13. REMEDIES
13.1. The obligations of Solarport under this Warranty are limited solely to an obligation on Solarport to replace any of its products to the original point of supply in the unlikely event of structural deterioration caused by corrosion, deformation or component failure occurring within the Warranty Period. All other remedies are excluded.
13.2. If Solarport determines that a valid warranty claim exists, Solarport’s sole obligation and the Beneficiary’s exclusive remedy shall be, at Solarport’s option:
13.2.1. Repair: To repair the defect using new or refurbished parts; or
13.2.2. Replacement: To replace the defective component(s) or, in exceptional circumstances, the entire Product with a product of equivalent specification; or
13.2.3. Refund: To refund a fair and reasonable proportion of the purchase price, taking into account the age of the Product, the extent of use, and the nature and extent of the defect.
13.3. Solarport will bear reasonable costs directly associated with the chosen remedy, including:
13.3.1. Cost of replacement parts or components supplied by Solarport;
13.3.2. Standard delivery of replacement parts to the UK mainland address.
13.4. Solarport will NOT be responsible for:
13.4.1. Labour costs for removal and reinstallation;
13.4.2. Costs of access equipment, scaffolding, cranes, cherry pickers or other facilities;
13.4.3. Costs of isolating or reconnecting electrical systems;
13.4.4. Costs associated with solar panel removal and reinstallation;
13.4.5. Transportation costs beyond standard UK mainland delivery;
13.4.6. Costs of obtaining permits or approvals;
13.4.7. Hire or rental of temporary structures or parking facilities;
13.4.8. Any consequential losses, downtime, loss of use or loss of revenue.
13.4.9. Repairs or replacement parts provided under this Warranty are warranted only for the remainder of the original Warranty Period.
14. LIMITATION OF LIABILITY
14.1. Maximum Liability: Solarport’s total aggregate liability under this Warranty, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the purchase price paid by the Customer for the Product.
14.2. Under no circumstances will Solarport be liable for any indirect or consequential losses or loss of profit nor liable for any other loss, damage or expense whatsoever incurred or suffered by the Beneficiary howsoever such loss, damage or expense may have been caused (including, without limitation, breach of contract, negligence, breach of duty or otherwise), including but not limited to:
14.2.1. Loss of profits, revenue, business or contracts;
14.2.2. Loss of anticipated savings;
14.2.3. Loss of use or corruption of software, data or information;
14.2.4. Loss of or damage to goodwill or reputation;
14.2.5. Business interruption or downtime;
14.2.6. Cost of capital;
14.2.7. Cost of procurement of substitute goods or services;
14.2.8. Damage to vehicles, property or equipment beneath or adjacent to the Product;
14.2.9. Injury to persons or damage to property not directly caused by a defect in the Product;
14.2.10. Environmental damage or pollution;
14.2.11. Loss of parking revenue or facilities;
14.2.12. Losses arising from delay in Solarport responding to or remedying a warranty claim.
14.3. Nothing in this Warranty shall limit or exclude Solarport’s liability for:
14.3.1. Death or personal injury resulting from its negligence;
14.3.2. Fraud or fraudulent misrepresentation;
14.3.3. Anything for which it cannot legally limit or exclude or attempt to limit or exclude its liability.
15. INSURANCE
15.1. Solarport maintains the following insurance coverage:
15.1.1. Professional Indemnity Insurance;
15.1.2. Public Liability Insurance;
15.1.3. Product Liability Insurance.
15.2. Details of coverage limits are available upon request.
15.3. Solarport does not provide structural warranty insurance or building guarantee schemes. The Beneficiary may wish to obtain their own structural warranty insurance independently.
16. TRANSFER OF WARRANTY
16.1. Only the Beneficiary (or its successors in title) shall have any rights (including under the Contracts (Rights of Third Parties) Act 1999 or otherwise) to enforce any term of this Warranty.
16.2. This Warranty may not be assigned or transferred, save that this Warranty may be assigned or transferred to a new owner of the property on which the Commercial Solar Carport System is installed but subject to prior written notification to Solarport and written acceptance of the intended assignee.
16.3. The assignee will have the benefit of the unexpired term of the Warranty, subject to the terms and conditions set out herein.
16.4. All inspection and maintenance records must be transferred to the new owner.
17. GENERAL TERMS
17.1 Entire Agreement: This Warranty is supplemental to, and is provided in consideration for the payment of the purchase price in full to Solarport under, the Contract. The Warranty together with the Contract constitutes the entire agreement between the parties in relation to its subject matter and supersedes and extinguishes all pre-Contractual statements relating hereto. In the event of any conflict or inconsistency between the terms of this Warranty and the Contract, the terms of this Warranty will take precedence.
17.2 Exclusion of Other Warranties: Except as expressly provided to the contrary in this Warranty, for the avoidance of doubt, under this Warranty, Solarport makes no warranties, guarantees or conditions, express or implied, arising from or relating to the Commercial Solar Carport System, any part of it or any other product or material supplied to the Beneficiary by Solarport including implied warranties of performance, merchantability or fitness for a particular purpose and any implied warranties of custom or usage. The remedies for breach of this Warranty are the Beneficiary’s sole and exclusive remedy arising from or relating to any breach of this Warranty.
17.3 Non-Reliance: Neither Solarport nor the Beneficiary have entered into this Warranty in reliance upon any representation, warranty or undertaking of the other party which is not expressly set out or referred to in this Warranty. Any condition, warranty, statement or understanding as to the quality of materials supplied under the Contract or their fitness or suitability for any purpose however or whenever expressed or which may be implied by statute, custom of the trade or otherwise is hereby excluded.
17.4 Severability: If a part, provision or clause of this Warranty, or the application thereof to any person or circumstance, is held invalid, void or unenforceable, such holding shall not affect and shall leave all other parts, provisions, clauses or applications of this Warranty, and to this end such other parts, provisions, clauses or applications of this Warranty shall be treated as severable.
17.5 No Waiver: Failure by Solarport to enforce any term of this Warranty shall not constitute a waiver of that term or affect Solarport’s right to enforce it subsequently.
17.6 Amendment: This Warranty may only be amended by written agreement signed by an authorised representative of Solarport.
17.7 Force Majeure: Solarport shall not be liable for any failure or delay in performing its obligations under this Warranty where such failure or delay results from circumstances beyond Solarport’s reasonable control.
17.8 Governing Law: This Warranty and any dispute or claim arising in respect of or in connection with this Warranty (whether of a contractual or non-contractual nature) shall be subject to and construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts in respect thereof.
